These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by SPHYNX SASU, operating under the commercial name Samix Technology ("we", "us", "our"). This includes, without limitation, the NeuroCommand application and any services that involve access to financial data through third-party providers.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.

• "Services" refers to all websites, applications, APIs, and products operated by Samix Technology, including NeuroCommand
• "User" or "you" refers to any individual or entity accessing or using our Services
• "Financial Data" refers to bank account information, transaction history, balances, and related data accessed through authorized third-party providers
• "Third-Party Provider" refers to regulated account information service providers (e.g., Enable Banking) used to access Financial Data under PSD2

Samix Technology provides software development, data engineering, database administration, and technology consulting services. We also develop and operate software products including, but not limited to, NeuroCommand, Sphynx, Burnwood, HelioSwarm, NeuroSignal, AutoDBA, and LeakReport.

Our services may evolve over time. We reserve the right to modify, suspend, or discontinue any part of our services at any time, with reasonable notice where practicable.

Certain services, including NeuroCommand, may provide functionality that accesses your financial data through regulated third-party account information service providers such as Enable Banking.

By using these features, you acknowledge and agree that:

• You are authorizing the retrieval of your financial data from your bank(s) through a licensed third-party provider
• You are solely responsible for the accuracy of the bank account information you provide
• Financial data is retrieved in read-only mode — we cannot initiate payments or modify your bank accounts
• The availability and accuracy of financial data depends on your bank and the third-party provider, and we are not liable for errors, delays, or outages originating from those parties
• You may revoke access to your financial data at any time
• Financial data services are provided "as is" and are subject to the disclaimers in Section 8

Our use of financial data is governed by our Privacy Policy, which you should review carefully.

When using our services, you agree to:

• Provide accurate and truthful information
• Maintain the security of your account credentials
• Use the services only for lawful purposes and in compliance with applicable laws
• Not attempt to reverse-engineer, decompile, or interfere with the operation of our services
• Not use automated tools to scrape, crawl, or extract data from our services without authorization
• Not use financial data obtained through our services for any purpose other than those you have explicitly authorized

All content, software, code, designs, trademarks, and intellectual property associated with our services are owned by SPHYNX SASU or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use our services for their intended purpose. This license does not grant you any right to copy, modify, distribute, sell, or create derivative works from our services or intellectual property.

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data, including financial data accessed through third-party providers.

We comply with the General Data Protection Regulation (GDPR) and applicable French and European data protection laws.

Our services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• Our services will be uninterrupted, error-free, or secure
• Financial data retrieved through third-party providers will be accurate, complete, or timely
• Our services will meet your specific requirements

NeuroCommand and any financial data features are not financial advice. We do not provide investment, tax, or financial planning advice. Any financial data displayed is for informational purposes only. You should consult a qualified financial professional before making financial decisions.

To the maximum extent permitted by applicable law, SPHYNX SASU, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from or related to your use of our services.

Our total aggregate liability for any claims arising from or related to these Terms or our services shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or one hundred euros (EUR 100), whichever is greater.

Nothing in these Terms limits liability for fraud, gross negligence, death, or personal injury caused by our negligence, or any liability that cannot be excluded by law.

You agree to indemnify and hold harmless SPHYNX SASU, its directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

We may suspend or terminate your access to our services at any time if you breach these Terms or if we are required to do so by law. Upon termination:

• Your right to use our services ceases immediately
• We may delete your account data in accordance with our data retention policy
• Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply

These Terms are governed by and construed in accordance with the laws of France. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts of France.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on our website with a revised "Last updated" date. Your continued use of our services after changes are posted constitutes acceptance of the revised Terms.
